Being asked to sign an NDA?

Know exactly what you can use, share and retain.

Avoid accepting vague or unlimited confidentiality duties. Record what counts as confidential, what is excluded, how the information may be used, which advisers can see it, how long the duties last and when disclosure is legally required.

  • Keep public and independently developed information excluded
  • Preserve lawful disclosures
  • Avoid an implied commitment to proceed

PROTECTIONS IN YOUR NDA

Confidentiality should be clear, not limitless.

Record your duties and their boundaries.

Clear exclusions Exclude public, prior and independently developed information.
How this protects you when receiving

Not every connected fact becomes confidential forever.

Defined purpose Know how information may be used.
How this protects you when receiving

Your duties relate to a recorded commercial context.

Permitted representatives Allow necessary adviser access.
How this protects you when receiving

Information can be shared where representatives need it and are appropriately bound.

Lawful disclosure Preserve compliance with courts and regulators.
How this protects you when receiving

The NDA does not require breach of a mandatory obligation.

No obligation to proceed Keep evaluation separate from commitment.
How this protects you when receiving

Either party may stop discussions and assess information independently.

Review the purpose, duration and optional restrictions carefully.

Separate transaction or data-processing terms may be needed.

Once sensitive information is shared, it cannot simply be taken back.

An NDA sets expectations before disclosure rather than after trust has broken down.

Without written terms

  • Unclear which information was confidential
  • Different assumptions about permitted use
  • No controls for representatives
  • Uncertainty about return and deletion

With a SigSwift NDA

  • Purpose and protected information recorded
  • Use and disclosure duties defined
  • Representative access addressed
  • Return and continuing duties documented

Is this NDA right for your discussions?

Suitable for

Things to check first

A LITTLE MORE CLARITY

Frequently asked questions

Plain-English answers about NDAs.

Can either party create the draft?

Yes. Either party can create and share it before information is disclosed.

Can it protect both parties?

Yes. Each party can be a disclosing or receiving party depending on the information.

Can advisers receive information?

Yes, where they need it for the purpose and have suitable confidentiality duties.

What happens when discussions end?

Return or destruction can be required, subject to stated legal and backup exceptions.

Do we need a printer?

No. Both parties can sign online.

Are electronic signatures recognised in Ireland?

Yes. In Ireland, sections 13 and 19 of the Electronic Commerce Act 2000 recognise the use of electronic signatures and electronic contracts, subject to the applicable conditions, including consent. At EU level, Article 25(1) of Regulation (EU) No 910/2014 (the eIDAS Regulation), as amended, provides that an electronic signature cannot be denied legal effect or admissibility as evidence solely because it is electronic or is not a qualified electronic signature. SigSwift records each party’s consent to use electronic records and signatures and their active signing event. The usual requirements for forming an agreement still apply, and some specialised documents may require additional formalities.
