Please read these Terms and Conditions carefully before using SigSwift. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, please do not use the service.

About SigSwift

SigSwift is an online platform that provides customisable contract templates and electronic signature functionality to individuals and businesses in Ireland. Certain templates may be prepared, reviewed, or updated with input from qualified Irish legal professionals.

Nature of the Service

SigSwift provides access to contract templates designed to provide a legally structured starting point for common contractual arrangements. The platform is not a substitute for bespoke legal advice.

Important: SigSwift does not guarantee that any contract template will be legally airtight, suitable, or enforceable in all circumstances. Every contractual situation is different. Our aim is to put you in a significantly better position than you would be without a written legal agreement. If your situation is complex, high-value, or commercially sensitive, you should seek independent legal advice.

SigSwift is not a law firm and does not provide legal advice. No solicitor-client relationship is created through use of the platform.

User Responsibilities

You are solely responsible for:

  • Ensuring the accuracy of information entered into contracts
  • Ensuring signing parties have legal authority and capacity to sign
  • Determining whether a template is suitable for your circumstances
  • Determining whether electronic signatures are legally appropriate for your intended use
  • Ensuring your use of SigSwift complies with applicable law

Certain document types may require additional formalities including witnessing, notarisation, wet-ink signatures, or advanced electronic signatures. Users are responsible for determining whether SigSwift's signing method is appropriate for their intended use case.

Eligibility

To use SigSwift you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into contracts
  • Be acting in compliance with applicable Irish and EU law

Account Registration

Certain features of SigSwift require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You must notify us immediately at hello@sigswift.com if you suspect unauthorised use of your account.

Fees and Payment

Per-Contract Fee

A fee is charged each time a contract is created on the platform. Charges apply regardless of whether all parties subsequently sign the contract. The creation of the contract — not the completion of signing — triggers the charge.

Bundle Credits

Bundle credits are non-transferable, tied to your account, and expire 12 months from the date of purchase unless otherwise stated. You will receive an email reminder before credits expire.

VAT

All prices exclude Irish VAT at the standard rate of 23% unless otherwise stated. VAT is added at checkout. A VAT invoice is available to download from your account after each purchase.

Price Changes

SigSwift reserves the right to change pricing at any time. Existing purchased credits will not be affected by future pricing changes.

Refunds and Right of Withdrawal

Per-Contract Purchases

By proceeding with payment, you expressly consent to the immediate generation of your contract and acknowledge that this waives your 14-day right of withdrawal under the Consumer Rights Act 2022 and the EU Consumer Rights Directive (2011/83/EU) once digital content delivery begins. Once a contract has been generated, refunds will generally not be provided.

Bundle Credits

Refunds on bundle credit purchases may be considered where no credits have been used and the request is made within 14 days of purchase. Once one or more credits have been used, no refund will be issued. To request a refund, contact hello@sigswift.com.

Discretionary Refunds

Any refunds outside the above circumstances are entirely at SigSwift's discretion and will only be considered in exceptional circumstances.

Contract Editing and Locking

Contracts may be edited at any time before payment is made. Once payment has been made, the contract is locked and cannot be edited. This is necessary to preserve the integrity of the signing process and the audit trail. You are responsible for reviewing your contract carefully before proceeding to payment.

Electronic Signatures

SigSwift facilitates Simple Electronic Signatures (SES) as defined under eIDAS Regulation (EU) No 910/2014, Article 3(10), and recognised under the Electronic Commerce Act 2000 (Ireland). Each signing party receives a unique, time-limited link by email to complete the signing ceremony.

SigSwift is not responsible for a party's failure or refusal to sign a contract. The signing of a contract by all parties is the responsibility of the parties themselves.

Document Storage

Nature of Storage

SigSwift is primarily a contract template and electronic signature platform. Document storage is provided as a convenience feature and does not constitute a regulated compliance archive, legal records vault, or long-term document management service. Users should not rely solely on SigSwift for the preservation of legally significant records.

Retention Period

SigSwift reserves the right, but not the obligation, to retain signed contracts for a maximum period of seven (7) years from the date of execution. SigSwift may delete documents that exceed this period, or documents associated with terminated or inactive accounts, without further notice. It is the User’s responsibility to ensure they have exported all necessary data prior to the expiry of this period or the closing of their account.

User Responsibility

Users are solely responsible for maintaining their own copies of executed contracts. SigSwift accepts no liability for any loss arising from the deletion, unavailability, or corruption of stored documents. Users are strongly encouraged to download and retain their own copies of all signed contracts.

No Warranty of Availability

SigSwift does not warrant that stored documents will be available at all times or for any particular period beyond the retention period set out above.

Data Protection and GDPR

Roles

For the purposes of GDPR, the account holder (the party who creates and sends the contract) is the data controller in respect of personal data entered into contracts, including the personal data of signing parties. SigSwift acts as a data processor on behalf of the account holder in relation to that data.

Account Holder Obligations

As data controller, the account holder is responsible for:

  • Ensuring they have a lawful basis for processing the personal data of signing parties
  • Responding to Data Subject Access Requests (DSARs) received from signing parties
  • Honouring rights of erasure, rectification, and portability in respect of personal data they control
  • Ensuring their use of SigSwift complies with applicable data protection law

SigSwift's Processing

SigSwift processes personal data in accordance with GDPR and the Data Protection Acts 1988–2018 solely for the purpose of operating the platform. Please refer to our Privacy Policy for full details of how SigSwift processes personal data in its capacity as a data controller in its own right (for example, account data and platform usage data).

Prohibited Use Cases

SigSwift must not be used for:

  • Unlawful agreements or activities
  • Wills or testamentary documents
  • Property transfers requiring formal registration procedures
  • Family law matters requiring court approval
  • Regulated financial securities documentation
  • Any document category prohibited by applicable law

Template Accuracy and Legal Updates

SigSwift's contract templates are reviewed by a qualified Irish solicitor and updated periodically to reflect changes in Irish and EU law. However, there may be a delay between a change in legislation and the corresponding update to our templates. SigSwift does not guarantee that templates are current at the precise moment of use. If you are aware of a recent legal change that may affect your contract, we recommend seeking independent legal advice.

Platform Availability

SigSwift aims to maintain platform availability but does not guarantee uninterrupted or error-free access. The platform may be temporarily unavailable due to scheduled maintenance, technical issues, third-party service failures, or circumstances outside our reasonable control. The platform is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded under Irish law, including liability for death or personal injury caused by negligence, or for fraud.

To the fullest extent permitted by law, SigSwift's total liability relating to any claim shall not exceed the amount paid by the user for the specific contract or credit package to which the claim relates.

SigSwift shall not be liable for indirect, incidental, consequential, special, or punitive losses, including loss of profits, business interruption, or losses arising from unsigned, disputed, or unenforceable agreements.

Intellectual Property

All platform content including templates, branding, design, code, and copy remains the intellectual property of SigSwift or its licensors. Users retain ownership of content and information they enter into the platform. By using SigSwift, users grant SigSwift a limited licence to host, process, store, and transmit content solely for operation of the platform.

Acceptable Use

You agree not to:

  • Create contracts for unlawful purposes
  • Impersonate another person or entity
  • Attempt to reverse-engineer, scrape, or disrupt the platform
  • Introduce malicious code or attempt unauthorised access
  • Resell or sublicense access without written permission

Suspension and Termination

SigSwift reserves the right to suspend or terminate access where these Terms are breached, fraud or unlawful activity is suspected, security risks arise, or where required by law or regulatory obligation. Termination does not affect accrued legal rights or obligations.

Third-Party Services

SigSwift uses third-party providers including Stripe for payment processing, email delivery providers, analytics services, and cloud hosting. SigSwift is not responsible for the acts or omissions of independent third-party providers.

Force Majeure

SigSwift shall not be liable for delays or failures caused by events outside its reasonable control, including cyberattacks, internet outages, infrastructure failures, governmental actions, or failures of third-party providers.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between the parties regarding use of the platform.

Changes to These Terms

SigSwift reserves the right to update these Terms at any time. Changes will be published on this page with an updated date. For material changes, we will endeavour to notify registered users by email.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Ireland. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
