About to disclose sensitive information?

Share the opportunity without giving away control of the information.

Reduce the risk that sensitive plans, pricing, customer information or know-how are reused, passed on or retained beyond the discussions. Define why the information is shared, who may see it, how it must be protected, how long the duties last and when material must be returned or destroyed.

  • Limit use to the agreed purpose
  • Make the recipient responsible for representatives
  • Preserve remedies for breach

Confidential information remains protected for the selected period and trade secrets for longer where applicable.

Compelled disclosure Require notice and minimum lawful disclosure.
How this protects you when disclosing

Where lawful, you can seek protection before disclosure.

Protections depend on the information and options selected.

An NDA cannot make every fact confidential or guarantee enforcement.

Once sensitive information is shared, it cannot simply be taken back.

An NDA sets expectations before disclosure rather than after trust has broken down.

Without written terms

  • Unclear which information was confidential
  • Different assumptions about permitted use
  • No controls for representatives
  • Uncertainty about return and deletion

With a SigSwift NDA

  • Purpose and protected information recorded
  • Use and disclosure duties defined
  • Representative access addressed
  • Return and continuing duties documented

A LITTLE MORE CLARITY

Frequently asked questions

Plain-English answers about NDAs.

Can either party create the draft?

Yes. Either party can create and share it before information is disclosed.

Can it protect both parties?

Yes. Each party can be a disclosing or receiving party depending on the information.

Can advisers receive information?

Yes, where they need it for the purpose and have suitable confidentiality duties.

What happens when discussions end?

Return or destruction can be required, subject to stated legal and backup exceptions.

Do we need a printer?

No. Both parties can sign online.

Are electronic signatures recognised in Ireland?

Yes. In Ireland, sections 13 and 19 of the Electronic Commerce Act 2000 recognise the use of electronic signatures and electronic contracts, subject to the applicable conditions, including consent. At EU level, Article 25(1) of Regulation (EU) No 910/2014 (the eIDAS Regulation), as amended, provides that an electronic signature cannot be denied legal effect or admissibility as evidence solely because it is electronic or is not a qualified electronic signature. SigSwift records each party’s consent to use electronic records and signatures and their active signing event. The usual requirements for forming an agreement still apply, and some specialised documents may require additional formalities.
