Protect scope, payment and reusable work.

Clear terms create a fair process when requirements or timelines change.

Defined scope Identify exactly what is included.
How this protects you as the contractor

Requests outside the schedule can be treated as additional work.

Client dependencies Record required information, approvals and access.
How this protects you as the contractor

You are not responsible for delay caused by missing or late client inputs.

Fees and late payment Set invoicing, due dates and expenses.
How this protects you as the contractor

You can point to agreed payment triggers and remedies rather than renegotiating after delivery.

Variation control Price additional revisions and changed requirements.
How this protects you as the contractor

You need not absorb extra work that was not in the agreed scope.

Pre-existing intellectual property Protect reusable methods, tools and materials.
How this protects you as the contractor

Your background IP can remain yours while the client receives the agreed rights needed for deliverables.

Termination payments Address completed work and committed cost.
How this protects you as the contractor

The agreement records amounts due and handover duties when a project ends early.

Review every schedule before reserving time or starting work.

Independent-contractor status depends on the real facts and may require tax or employment advice.

A good brief can still leave expensive questions unanswered.

Written commercial terms clarify what happens when scope, timing or priorities change.

Without a detailed agreement

  • Deliverables and revisions keep expanding
  • Invoices and acceptance become disputed
  • Ownership of work remains unclear
  • Termination leaves files and fees unresolved

With a SigSwift agreement

  • Scope and deliverables documented
  • Fees and payment triggers recorded
  • Changes require written agreement
  • IP, confidentiality and exit duties addressed

A LITTLE MORE CLARITY

Frequently asked questions

Plain-English contractor-agreement answers.

Can either party create the draft?

Yes. The client or contractor can create and share it before work begins.

Does the contract make someone self-employed?

No. Status depends on the real relationship, not the document label.

How should extra work be handled?

Use a written variation recording additional scope, fees and timing before the work is carried out.

Who owns the work?

The agreement records the selected intellectual-property treatment, including any pre-existing materials and transfer or licence conditions.

Do we need a printer?

No. Both parties can sign online.

Are electronic signatures recognised in Ireland?

Yes. In Ireland, sections 13 and 19 of the Electronic Commerce Act 2000 recognise the use of electronic signatures and electronic contracts, subject to the applicable conditions, including consent. At EU level, Article 25(1) of Regulation (EU) No 910/2014 (the eIDAS Regulation), as amended, provides that an electronic signature cannot be denied legal effect or admissibility as evidence solely because it is electronic or is not a qualified electronic signature. SigSwift records each party’s consent to use electronic records and signatures and their active signing event. The usual requirements for forming an agreement still apply, and some specialised documents may require additional formalities.

Seek tax, employment or IP advice where status or ownership is complex.
